Welcome to Azurite™, a service operated by Ownly AI LLC (“we,” “us,” “our,” or “Azurite”). These Terms of Service ("Terms") govern your use of our development services. By commissioning or using our services, you agree to be bound by these Terms in full.

1. Service Overview

Azurite™ provides custom Minecraft server-related development and consulting services. These may include but are not limited to plugin creation, backend infrastructure setup, configuration, performance optimization, and consulting.

2. Payment Terms

• All invoices must be paid in full before work begins.

• We do not accept a percentage of server earnings as payment.

• If payment is not received within the agreed-upon timeframe, your request may be cancelled or delayed.

• Custom pricing is determined based on project scope and complexity.

3. Refund Policy

• We do not offer refunds under any circumstance, except if we fail to deliver the agreed-upon final product — which should not happen under normal operations.

• If the client cancels the project mid-way or is in breach of these Terms, no refund will be provided.

4. Compatibility Disclaimer

• We are not responsible if the final product does not work on your server machine due to incompatibility, improper setup, or insufficient system resources.

• Upon request, we can recommend server specifications that will best suit your project.

• It is the client’s responsibility to ensure their server environment meets reasonable standards.

5. Ownership and Intellectual Property

• Azurite™ retains full ownership and intellectual property rights over all code, designs, tools, configurations, and materials used or developed during the service.

• The client receives a non-exclusive, non-transferable license to use the final product for their intended server or business only.

• Redistribution, resale, or reuse of our work without permission is strictly prohibited.

6. Client Responsibilities

The client is expected to:

• Provide all necessary information, assets, and access in a timely and professional manner

• Clearly define the project scope, goals, and deadlines

• Maintain respectful communication with our team throughout the engagement

• If a client requests a custom server (e.g., mobs, menus, GUIs, etc.) and does not approve the selections we provide, the client is responsible for supplying their own assets, examples, or specific preferences.

• Note that we do not share or offer our licenses for premium plugins — if your project requires them, you must provide the purchased files or license access yourself

Failure to meet these responsibilities may delay your project or result in cancellation without a refund.

7. Client Responsibilities

• Provide all necessary access, information, and communication in a timely manner.

• Clearly define the scope and goals of the service requested.

• Maintain a respectful, collaborative environment with our team.

8. Service Modifications

We may adjust timelines, features, or costs if:

• The scope of the project changes after payment

• New technical constraints arise

• Communication delays occur

All changes will be communicated and agreed upon before being implemented.

9. Legal Jurisdiction

All services are governed under the laws of the United States, specifically the State of Washington.
By using our services, you agree to submit to the jurisdiction of Washington state courts in any legal matters relating to Azurite™.

10. Liability Disclaimer

• Azurite™ and Ownly AI LLC are not liable for any data loss, server downtime, financial loss, or damages resulting from the use of our products or services.

• We do not guarantee performance beyond what was agreed upon in the project scope.

11. NDA (Non-Disclosure Agreement)

If we are hired to work on an existing server or network, the client is required to sign our official NDA document before any work begins.
We do not sign client-provided NDA agreements under any circumstance. Our NDA includes a dedicated section that covers confidentiality for pre-existing infrastructures.

For clients who commission Azurite™ to build their setup from scratch, signing an NDA is optional and can be arranged upon request.

12. Changes to These Terms

We reserve the right to update or modify these Terms at any time. The most current version will always be available on our official website at https://azurite.llc
